Your Kentucky Registered Agent provides various services, including the acceptance of formal documents and correspondence from the Kentucky Secretary of State (SOS).

Your LLC is required to have a Registered Agent at all times. You appoint one when you first start your business. You can also replace your existing Kentucky Registered Agent at a later date, provided there is a smooth transition between the old and new agents.

 

Kentucky Registered Agent Requirements

  • Every domestic and foreign business entity must, at all times, maintain a Registered Agent with a registered office within the State of Kentucky.
  • The Registered Agent may be either a natural person or a domestic or foreign (licensed to transact business in the state) artificial legal entity (Corporation, LLC, LP or LLP).
  • The Registered Office is required to be at a street address within the State of Kentucky (a P.O. Box isn’t acceptable).
  • If the Registered Agent is a person, they’re required to reside in Kentucky.
  • If the Registered Agent is a business, they’re required to be able to conduct business in Kentucky.
  • The Registered Agent is required to be available to sign for any correspondence during normal business hours.

Note that the address for your Kentucky agent does not need to be the same as your Kentucky LLC business address.

What a Kentucky Registered Agent Does

A Registered Agent’s main function is to accept official documentation and correspondence.

This includes:

  • Tax forms and requests to complete permits, company filings and reports
  • Service of process notices (e.g., if your LLC is sued or required to appear in court)
  • Communication from the Kentucky SOS
  • Official state and federal government correspondence and notices

Having a Registered Agent also provides proof to the state that your business exists.

Assign a Registered Agent When You Form Your LLC

Your business needs to have a Registered Agent as soon as it’s formed. You can do this two ways:

You’ll need to include details of your Registered Agent in your Articles of Organization when you establish your business.

Assign a Different Registered Agent After Formation

You’re allowed to change your Kentucky Registered Agent after you’ve formed your LLC. There are a couple of ways to do this.

Choose a New Registered Agent, then File a Form with the Kentucky SOS

Once you’ve chosen a new Registered Agent, you can complete the Statement of Change of Registered Agent and/or Registered Office Address form available on the Kentucky SOS website. Once you’ve filled it out, send it to the SOS with a payment of $10, and they’ll update your records.

If the Registered Agent isn’t available there, you can request it directly from the Kentucky SOS.

What Happens If You Don’t Have a Registered Agent?

If you do not select a Registered Agent and provide the required details to the Kentucky SOS, there may be several ramifications, including:

  • Getting served or sued, and not finding out about it until it’s too late. If your LLC is sued and you don’t know about it, you could lose to a default judgment in your absence.
  • Falling out of good standing with the Kentucky SOS. If you don’t respond to certain correspondence (such as a request for your annual report), the state could take away your right to do business.
  • Losing your status as an LLC in Kentucky. A Registered Agent proves to the state that your business exists. Without that business entity protection, your LLC may be dissolved.
 

Acting as Your Own Registered Agent

If you have an address in Kentucky, you can serve as the Registered Agent for your LLC. We don’t recommend this approach for a few reasons:

  • The Registered Agent is required to have a physical street address in Kentucky. If you’re forming an LLC outside the state, you’ll need to use an in-state Registered Agent.
  • Someone must always be available during business hours at the Kentucky address to sign for important documents.
  • The Registered Agent’s name and address are part of the public record and are searchable through the Secretary of State's website. If you prefer to keep this information private, you should choose a Registered Agent service.
  • If you change your business address or move out of state, you need to inform the Secretary of State of the new address — a step not necessary if you use a Registered Agent service, making a move or address change much simpler.
